Business Succession Planning in Los Angeles
Ownership & Management Continuity for Closely Held Businesses
A succession plan establishes who receives an ownership stake and who has authority to operate the company when an owner retires, becomes incapacitated, or dies. At Law Offices of Kenneth U. Reyes, APC, we help business owners address ownership transfers, management continuity, and compliance with California business law alongside their personal estate planning.
Kenneth U. Reyes brings more than 28 years of family law and civil litigation experience to these decisions. Before practicing law, he spent a decade as a Certified Public Accountant at Arthur Andersen, LLP and Bank of America, giving him a practical financial perspective on transitions involving companies and families.

Documents That Govern a Business Transition
A business succession plan must address ownership, authority, and control, not simply name a successor. We consider who can take over day-to-day management, who holds voting control, and how the plan treats family members who are active or inactive in the company.
Depending on the owner’s circumstances, planning may involve:
- Buy-sell agreements: These agreements establish what happens to an owner’s stake in a partnership, limited liability company, or closely held corporation after death, incapacity, or retirement.
- Revocable living trusts: A trust can hold an ownership stake and authorize a successor trustee to manage or transfer it according to the trust’s terms.
- Durable powers of attorney: These documents assign authority to act for the owner during incapacity, subject to their language and applicable law.
Ownership-transfer documents should align with the entity’s governing documents and the owner’s estate plan. We also coordinate buy-sell provisions with life insurance and relevant tax considerations so the plan doesn’t create conflicting instructions.
Business Ownership & California Probate
When a Los Angeles resident dies with an ownership stake that wasn’t properly held in trust, that asset may become part of a proceeding in the Los Angeles Superior Court, Probate Division. The result depends on the ownership title, entity documents, estate plan, and applicable California law.
California statutory fees for the attorney and personal representative are calculated using the gross value of the probate estate, which can include company ownership. Business debt isn’t deducted when calculating those statutory fees. An ownership stake properly assigned to a living trust before death may instead be managed or transferred by the successor trustee, subject to the trust’s terms and applicable law.
Entity structure also matters. When a shareholder in a California corporation dies, the shares pass through the estate while the corporation continues to exist under its board and officers. For an unincorporated business such as a sole proprietorship, a personal representative generally has limited authority to continue operations and may need court authorization beyond the initial statutory period.
Financial Insight for Workable Succession Decisions
Kenneth U. Reyes is one of fewer than five individuals in California who hold both an active Certified Public Accountant license and a Board-Certified Family Law Specialist designation. We apply that combined legal and financial background when discussing company ownership, family circumstances, and concerns involving taxes, privacy, or potential disputes.
Business valuation and liquidity planning affect whether a proposed transfer is workable for successors, remaining owners, and family members. A plan must account for owners and relatives who may inherit. It must also address family members active in the company and those responsible for daily operations.
Our one-attorney-per-case model provides direct attention throughout the planning process. The attorney who learns your goals and business circumstances remains responsible for your case and communication.
Our Business Succession Planning Process
During the initial consultation, we listen to your goals, family circumstances, and concerns about ownership or management succession. We evaluate relevant ownership records, governing documents, and personal wills, trusts, and related documents before outlining strategies suited to your situation under California law and Los Angeles practice.
Succession decisions should be documented before retirement, incapacity, or death creates uncertainty about authority or ownership. Our related legal services allow us to consider a business transition in the context of personal and family arrangements.
Our estate planning services include:
- Revocable living trusts
- Wills
- Probate and trust administration
- Distribution of estates
